These Terms of Service ("Terms") govern your use of the writing, editing, and design services ("Services") provided by Concept, CNP Document Solutions, LLC ("we", "us", "our"). By using our Services, you agree to these Terms. Please read them carefully.
​​1. Scope of Services

1.1 Services Offered: We offer editing, proofreading, and design services specifically tailored for technical documentation, including but not limited to manuals, reports, presentations, and other relevant materials.

1.2 Service Delivery: We will perform the Services with reasonable skill and care, based on the details and specifications provided by you, the client.
​
1.3 Client Responsibilities: You agree to provide all necessary materials, guidelines, and access to relevant documents required for us to perform the Services.

2. Fees and Payment

2.1 Fee Structure: Fees for our Services are determined based on the scope of work, turnaround time, and any additional requirements specified by you.
​
2.2 Payment Terms: Payment terms will be agreed upon before commencement of the Services. Final payment is due upon completion of the Services unless otherwise agreed in writing.

2.3 Late Payments: We reserve the right to charge interest on late payments at the rate of 3% per month on the outstanding amount.

3. Client Responsibilities

3.1 Accuracy of Materials: You are responsible for the accuracy and legality of all content provided to us for editing, proofreading, or design.
​
3.2 Feedback and Approval: You agree to provide timely feedback and approval on drafts or designs submitted for review. Delays in feedback may impact project timelines.

4. Intellectual Property
​
4.1 Ownership: Unless otherwise agreed in writing, all intellectual property rights arising from the Services (designs only, see Section 4.2) remain the property of Chelsea Pugh until full payment has been received.
​
4.2 Client Materials: You retain ownership of all intellectual property rights in the materials provided to us at all times.
​
5. Confidentiality
​
5.1 Confidential Information: We will treat all information provided by you as confidential and will not disclose it to any third party without your prior written consent, except as required by law. If desired, non-disclosure agreements will be issued.

6. Limitation of Liability
​
6.1 Indirect Damages: To the extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data.
​
6.2 Maximum Liability: Our total liability arising out of or in connection with these Terms or the Services provided shall not exceed the total fees paid by you for the specific Services giving rise to the liability.

7. Termination
​
7.1 Termination: Either party may terminate these Terms with written notice if the other party breaches any material term of these Terms and fails to cure such breach within 7 days of receiving written notice.

7.2 Consequences of Termination: Upon termination, you agree to pay any fees owed for Services rendered prior to the effective date of termination.
​
7.3 If communication from the client ceases and no response is received within 21 days, the client will be charged any applicable cancellation fees.

8. General
​
8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of United States and applicable countries of service.
​
8.2 Entire Agreement: These Terms constitute the entire agreement regarding the Services and supersede any prior agreements or understandings.​
